Welcome to Upper Echelon Studios (“Company,” “we,” “our,” or “us”). By accessing or using our website upperechelonstudios.com (“Site”) or engaging our services, you agree to these Terms & Conditions. If you do not agree, please discontinue use of our Site and services.


1. Use of the Website

2. Services Provided

Upper Echelon Studios provides professional services including, but not limited to:

  • Web Design & Development

  • Branding & Visual Identity

  • Local SEO & Digital Marketing

  • Content Creation & Consulting

All services are subject to a written proposal, agreement, or invoice outlining project details, deliverables, and timelines.


3. Contracts & Agreements

  • Work will begin only after both parties have agreed to the scope of work in writing (via contract or email confirmation).

  • Any additional work or changes requested outside the original agreement will require a written change order and may result in additional charges.


4. Payment Terms

  • A non-refundable deposit (typically 50%) is required before work begins unless otherwise agreed in writing.

  • The remaining balance is due upon project completion before final files, website access, or other deliverables are released.

  • Late payments may incur interest at 1.5% per month or the maximum allowed by law.


5. Refund Policy

  • Due to the nature of creative and digital services, all payments are non-refundable once work has commenced.

  • Refunds are only available if no work has been started and must be requested in writing within 3 business days of payment.

  • Any prepaid but unused maintenance or hosting services will be refunded on a prorated basis if canceled before the start date.


6. Client Responsibilities

  • Provide all necessary content, materials, and access in a timely manner.

  • Respond to feedback requests and approvals promptly to avoid delays.

  • Ensure that any materials provided do not infringe upon the rights of third parties.


7. Timelines & Delivery

  • Estimated timelines will be provided but are not guaranteed unless explicitly stated in writing.

  • Delays caused by the client (late content, feedback, etc.) may result in adjusted delivery dates.


8. Revisions & Approvals

  • Projects include a set number of revisions as stated in the agreement. Additional revisions may be billed at the hourly rate specified in the contract.

  • Final approval must be given in writing. Once approved, any further changes will be treated as new work.


9. Limitation of Liability

  • While we take every precaution, Upper Echelon Studios is not liable for:

    • Losses or damages resulting from delays, interruptions, or technical issues.

    • Accidental data loss, website downtime, or security breaches beyond our control.

    • Any consequential, incidental, or indirect damages arising from the use of our services or Site.

  • Our total liability will not exceed the total amount paid by the client for the specific project.


10. Third-Party Services

  • We may integrate third-party tools, plugins, or services. We are not responsible for their performance, security, or future availability.

  • Any fees for third-party services are the responsibility of the client unless otherwise stated.


11. Intellectual Property

  • Upon full payment, the client will receive rights to the final deliverables outlined in the contract.

  • We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

  • Any preliminary concepts, drafts, or rejected designs remain the property of Upper Echelon Studios.


12. Confidentiality

  • Both parties agree to keep confidential any proprietary or sensitive information obtained during the project.


13. Termination

  • Either party may terminate the agreement with written notice if the other party breaches these terms.

  • Work completed up to the date of termination must be paid in full.


14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles.


15. Changes to These Terms

We reserve the right to update or modify these Terms & Conditions at any time. The latest version will always be posted on our Site.
